Role Overview
The General Counsel serves as the company’s lead legal executive, shaping a proactive legal strategy that supports commercial expansion and operational objectives. Acting as a strategic advisor to executive leadership and the Board, this individual helps accelerate revenue initiatives, oversees legal aspects of acquisitions and integrations, and guides workplace and compliance matters in a way that balances innovation with sound governance.
Duties & Responsibilities
- Partner closely with commercial and product leadership to simplify contracting workflows and support faster revenue generation
- Structure, review, and negotiate complex commercial agreements involving software, technology, partnerships, and intellectual property
- Develop scalable contracting processes, templates, and internal guidance tools to improve efficiency across the business
- Support strategic growth initiatives including financings, strategic alliances, and corporate transactions
- Oversee legal integration efforts following acquisitions, including entity consolidation and alignment of intellectual property assets
- Advise executive leadership and the Board on governance matters, corporate policies, and strategic legal considerations
- Help position the organization for future liquidity or capital market opportunities through strong legal and governance infrastructure
- Counsel leadership and HR teams on sensitive employment matters, organizational policies, compensation issues, and performance-related matters
- Guide the alignment of workplace policies and employment practices across expanding or newly integrated teams
- Manage employment-related disputes, investigations, and regulatory matters while supporting a positive organizational reputation
- Lead enterprise compliance efforts related to privacy, cybersecurity, and evolving regulatory requirements
- Direct outside counsel relationships and oversee litigation strategy while managing legal spend effectively
Qualifications
- Over ten to fifteen years of legal experience across corporate law, including substantial tenure in senior in-house leadership roles and/or premier law firms
- Background serving as a chief legal executive or senior legal advisor within rapidly scaling software, technology, or digital infrastructure companies
- Experience supporting publicly listed organizations or preparing companies for major capital market transactions such as public offerings or strategic exits
- Strong history of managing acquisition-related legal matters from diligence and negotiation through operational integration
- Ability to translate complex legal and regulatory issues into clear, practical guidance for executive and commercial stakeholders
- Business-oriented approach with sound judgment, operational awareness, and careful attention to detail
- Extensive knowledge of employment and workplace law, particularly in evolving or high-growth organizational environments
- Experience supporting multinational operations and collaborating with teams across international markets and time zones
- Qualified attorney with strong academic credentials and active bar membership in at least one applicable U.S. jurisdiction
- Proven ability to manage multiple priorities, operate independently, and build trusted relationships across departments
- Strong communication skills, professional integrity, adaptability, and commitment to ongoing development
- Familiarity with energy, infrastructure, utility, or regulated industry environments
- Experience within venture-backed or rapidly expanding technology businesses
- Strong commercial judgment with the ability to balance legal exposure against broader business priorities
- Experience overseeing legal teams or stakeholders across multiple countries
- Background leading legal diligence, negotiation, and execution activities for strategic transactions and corporate combinations
