Director of Structured Finance

Our client is seeking a talented and motivated individual to provide a full suite of transactional legal services to shepherd loans through the closing process and mitigate risk. As Director of Structured Finance, you will lead execution of loan documentation for development loans, direct legal diligence on renewable energy projects, and support Asset Management team to ensure the portfolio maintains its legal covenants and requirements. As a qualified candidate, you will be a licensed attorney experienced in renewable energy and financial transactions.

Duties and Responsibilities

You will serve as Director of Structured Finance across the spectrum of company work, including:

  • Provide comprehensive legal execution capacity to loan origination and management team, including negotiating terms, legal structuring and loan documentation
  • Oversee closings in collaboration with internal staff, external counsel, and external consultants; support loan workouts and asset management
  • Identify risks in transaction documents and work with Directors and technical staff to determine mitigation and abatement strategies
  • Take an active lead role in developing new products, such as joint development agreements, equity investments, and other expansions of products and services
  • Lead closings of syndications/participations/back-leverage facilities for existing loans
  • Support diligence and contracting for projects in active development, including but not limited to negotiation of Power Purchase Agreements, Interconnection Agreements, Feedstock Agreements, EPC Agreements, Operations and Maintenance Agreements, coordinate on FERC and state and local regulatory issues, etc.
  • Work with leadership on strategic initiatives as required

KnowledgeQualifications, and Experience

The ideal candidate will meet the following minimum criteria:

  • Active bar license, with preference for NC, DE or NY
  • Minimum 6 years legal practice in structuring financial transactions
  • Preference for experience in a law practice, private equity investment, renewable energy project development and/or lending
  • Team player who can manage multiple priorities and quickly adapt to rapidly changing deal and development demands
